Terms of Service
These terms govern your use of the Shift Relay platform.
Who you are contracting with
The Shift Relay service is provided by Shift Relay (“Shift Relay”, “we”, “us”). When you create an account or purchase a subscription, you are entering into an agreement with Shift Relay. If you accept these terms on behalf of an organization, you confirm that you have the authority to bind that organization; if you are signing up as an individual, you confirm that you are of legal age to enter into a contract.
Acceptance of these terms
By creating an account, purchasing a subscription, or continuing to use Shift Relay, you agree to be bound by these terms. If you do not agree, you must stop using the service. We may update these terms as the product develops and will give reasonable notice of changes that materially affect existing workflows; continued use after a change means you accept the updated terms.
The service
Shift Relay is a web-based shift handoff and operations platform for shifts, briefings, logs, tasks, handoffs, announcements, equipment records, and related operational information. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected.
Customer responsibilities
Customer organizations are responsible for the accuracy of the records they store, for administering their own user accounts and roles, and for keeping account information accurate and up to date. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account. Accounts are for named individuals and must not be shared. Shift Relay must not be used as a system of record for criminal history data, protected health information, or evidence.
Acceptable use and misuse
You must not use Shift Relay unlawfully; commit fraud or send spam; infringe the intellectual property or privacy rights of others; store unlawful content; attempt to access records belonging to another organization; or interfere with the security of the service, including by introducing malware, probing or scanning systems, circumventing technical limits, scraping, reverse engineering, or reselling or redistributing the service. Repeated or serious violations may result in suspension or termination.
Intellectual property
Shift Relay retains all ownership of the service and its intellectual property, including the software, documentation, designs, and branding. Nothing in these terms transfers ownership to you. You retain ownership of the operational records and content you place in the service, and you grant us a limited licence to host and process that content solely to provide the service to you.
AI-assisted features
AI-generated drafts and summaries are a starting point and are always subject to human review. Outputs may be inaccurate or incomplete and are not a substitute for professional judgement. The reviewing user is responsible for the content of anything they publish, and you are responsible for having the rights to any content you submit as input.
Payment and subscription terms
Subscriptions are sold on a monthly or annual basis and renew automatically at the then-current price until cancelled. Payment, billing, currency, taxes, invoicing, cancellation, and refund mechanics are handled by our reseller and are described in Paddle's Buyer Terms. Our own refund commitments are set out in our Refund Policy. You can cancel at any time from Plan and billing inside your workspace; cancellation takes effect at the end of the period you have already paid for.
Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Suspension and termination
We may suspend or terminate access to the service, in whole or in part, for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious violations of our acceptable use rules. Where practical we will give notice and an opportunity to correct the problem first. Customer organizations may end their use at any time and may request an export of their data before doing so. After termination we retain data for a limited export window before deletion, and audit and handoff history is preserved for the duration of the agreement.
Warranties, availability and liability
We aim for high availability but do not warrant that the service will be uninterrupted or error-free. To the fullest extent permitted by law we disclaim implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill, and our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death, or personal injury where that exclusion is not permitted by law. You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.
General
You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the jurisdiction in which Shift Relay is established, and disputes will be heard by the courts of that jurisdiction.
